Article 1: Scope and Acceptance

1.1. These general terms and conditions apply to all agreements, offers, and deliveries between Aspera Audio (KMO-Solutions CommV) and its customers, unless explicitly agreed otherwise in writing.

1.2. By placing an order or entering into an agreement, the customer acknowledges having read and unconditionally accepted these terms and conditions.

1.3. Any purchasing or other terms and conditions of the customer are explicitly rejected.

Article 2: Offers and Orders

2.1. All offers made by Aspera Audio are non-binding. An agreement is only concluded upon written confirmation by Aspera Audio or upon the commencement of the execution of the order.

Article 3: Delivery and Lead Times

3.1. Stated delivery times are purely indicative. Any delay in delivery does not entitle the customer to compensation or dissolution of the agreement.

3.2. Goods travel at the customer's risk from the moment they are dispatched from our warehouses.

Article 4: Payment Terms

4.1. Invoices are payable by the due date specified on the invoice. In the absence of a stated date, a payment period of 30 days applies.

4.2. In the event of non-payment, late payment interest and a fixed compensation fee of 10% (minimum €125) shall be due automatically by law.

Article 5: Retention of Title

5.1. Delivered goods remain the exclusive property of Aspera Audio until full payment has been received.

Article 6: Complaints and Warranty

6.1. Visible defects must be reported in writing within 48 hours of delivery.

6.2. Product warranties are strictly limited to the factory warranty provided by the respective brands represented by Aspera Audio.

Article 7: Privacy

7.1. Aspera Audio respects your privacy. Personal data is solely processed for customer management and the execution of the agreement, in accordance with our privacy policy.

Article 8: Applicable Law

8.1. All legal relationships are governed exclusively by Belgian law. In the event of any dispute, the courts of the judicial district of Antwerp shall have exclusive jurisdiction.
